1. Acceptance of Terms

By submitting a project brief, engaging our services, or accessing this website, you ("Client") agree to be bound by these Terms & Conditions. These terms constitute a legally binding agreement between you and Sanaul Hawk Wasif ("we," "us," "our," or "SHW Team"). If you do not agree, please do not proceed with our services.

2. Services Provided

The SHW Team provides full-stack web development, mobile app development, SaaS platform engineering, e-commerce solutions, WordPress development, API & backend development, and security auditing. Each project's scope, deliverables, and timeline are confirmed in writing before work begins. We also provide an AI-powered assistant on our website to help clients with questions, guidance, project estimation, and support — available 24/7.

3. AI Assistant — Purpose & Limitations

Our website features an AI chat assistant designed to help clients understand our services, estimate project requirements, answer FAQs, and provide post-delivery support. The AI assistant is a support tool — it does not replace formal project agreements. For complex or sensitive issues, clients are encouraged to submit a project brief or use the AI chat to escalate to the team. Responses via direct contact (email/phone) are reserved for confirmed clients only.

4. Quotation & Pricing Process

All project quotations are provided in US Dollars (USD) exclusively. No other currency is used for pricing, invoicing, or communication of costs. After reviewing your submitted project brief — including features, scope, timeline, and technical requirements — our team will assess all details and provide a transparent USD-denominated quote. The quoted amount reflects the exact agreed scope of work.

5. Scope Lock & Feature Changes

The agreed features and deliverables define the project scope. Once a quote is confirmed and work begins, the scope is locked. If the client requests additional features or changes beyond the original agreed scope, the project cost will be revised accordingly. Clients are strongly advised to confirm all required features before approving the quote. Scope creep will result in additional charges and possible timeline adjustments.

6. Advance Payment Policy

For projects valued above $320 USD, an advance payment of 3% of the total project amount is required before work commences. This advance secures your project slot and covers initial planning, architecture, and setup costs. For projects at or below $320 USD, payment terms are agreed upon per project. The advance is non-negotiable for large projects and must be received before any development work begins.

7. Cancellation & Refund Policy

For projects above $320 USD: if the client cancels the project after work has begun, the advance payment is non-refundable under any circumstances. However, the client retains the right to request revisions, raise concerns, or request that identified issues be resolved before accepting delivery. The client may not cancel solely to avoid payment if work has been completed as agreed. For smaller projects, refund eligibility is determined on a case-by-case basis per the project agreement.

8. Payment & Project Handover

Upon project completion, the SHW Team will notify the client and provide a final review period. After the client confirms satisfaction, a payment request will be issued for the remaining balance. Full payment must be received before any code, assets, credentials, or project files are handed over. No exceptions will be made. Partial payments do not entitle the client to partial access to the final project.

9. Intellectual Property

Upon receipt of full payment, the client receives complete ownership of the final deliverables including source code, design files, and documentation. Prior to full payment, all work remains the intellectual property of the SHW Team. Third-party libraries, frameworks, and assets remain under their respective open-source or commercial licenses. We are not responsible for client misuse of delivered code post-handover.

10. Post-Delivery Support

After project delivery, clients may access support through our AI assistant available on the website, or by initiating a new chat session. Our AI agent is trained to assist with common issues, guidance, and troubleshooting. Direct contact via email or phone for post-delivery support issues will not receive a dedicated response — all post-delivery support is channeled through the platform's chat/AI system. Critical bugs directly attributable to our code (not client modifications) within 30 days of delivery are addressed at no extra cost.

11. Client Data & Showcase Permissions

We treat all client project information as strictly confidential. Client project details, business data, or personal information will never be used in our portfolio Showcase, Blog posts, or any public-facing content without the client's explicit prior written permission. We will always contact the client first and obtain consent before featuring any project, case study, or description publicly. Clients may grant or revoke permission at any time.

12. Client Responsibilities

Clients are responsible for providing accurate requirements, timely feedback, required assets (images, content, credentials, copy), and access to necessary platforms. Delays caused by the client may result in revised timelines or additional costs. Clients must ensure they have full legal rights to all content, images, and materials provided to us. We are not liable for legal issues arising from client-provided content.

13. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. We will not disclose client business logic, credentials, or project details to third parties without written consent. Clients agree not to share our internal methodologies, code structures, or system designs with competitors or third parties.

14. Governing Law

These Terms & Conditions are governed by the laws of Bangladesh. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to the jurisdiction of courts in Bangladesh.

15. Changes to Terms

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes are published constitutes acceptance of the revised terms. We recommend reviewing these terms before beginning any new project with us.
